Terms of Service

These terms are an agreement between you and Siplys. By using this website, joining the launch waitlist, or submitting a partner application, you agree to them. If you do not agree, please do not use the site.

What Siplys is right now

Siplys is a drink discovery service preparing to launch in Dallas-Fort Worth. Today, this website offers two things: a launch waitlist with a numbered First sip badge, and an application for shops and pop-ups that want to partner with Siplys. The full app is not yet available, and nothing on this site is a promise of specific features, launch dates, or availability.

Who can use the site

You must be at least 13 years old to join the waitlist or use this site. By submitting information, you confirm that you meet this requirement and that the information you provide is accurate.

First sip badge

The First sip badge is a free digital badge offered to people who join the launch waitlist. One badge per person and per email address. Badge numbers are assigned in order of signup as determined by our records, and our determination of numbering is final. Badges have no cash or monetary value, cannot be sold, transferred, or exchanged, and are not a financial instrument of any kind. Joining the waitlist reserves a badge but does not guarantee that the app will launch on any particular date, in any particular form, or at all. We may modify, pause, or discontinue the badge program at any time, though we will do our best to honor reserved numbers.

Partner applications

By submitting a partner application, you confirm that the information is accurate and that you are authorized to submit it on behalf of the business. Submitting an application does not create a partnership, and we may approve or decline any application at our sole discretion. You grant Siplys permission to use the information you submit to evaluate the application, contact you about it, and, if approved, set up your shop profile. Approved partnerships may be governed by additional terms provided at that time.

Acceptable use

You agree not to misuse the site. That includes: no automated signups, bots, or scripts; no scraping or harvesting of content or data; no attempting to probe, disrupt, or overload the site or its security measures; no submitting false information or impersonating any person or business; and no using the site for anything unlawful. We may block access or remove submissions that violate these terms.

Our content

The Siplys name, logo, badge designs, and site content belong to Siplys and are protected by intellectual property law. We grant you a limited, personal, non-exclusive license to view and use the site as intended. This license does not allow copying our branding or content for other purposes.

Feedback

If you send us ideas, suggestions, or feedback, you agree that we may use them without restriction or obligation to you. We love hearing ideas; this clause just means we do not have to negotiate ownership every time someone suggests a feature.

Third party links

The site may link to third party sites and services, such as Instagram pages of shops. We are not responsible for their content or practices.

Disclaimers

The site is provided as is and as available, without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We do not warrant that the site will be uninterrupted, error free, or secure.

Limitation of liability

To the maximum extent permitted by law, Siplys will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the site. To the maximum extent permitted by law, the total liability of Siplys for any claim relating to the site is limited to one hundred US dollars (100 USD). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Indemnification

You agree to indemnify and hold Siplys harmless from claims, damages, and expenses (including reasonable attorney fees) arising from your violation of these terms or your misuse of the site.

Changes to these terms

We may update these terms from time to time. When we do, we will update the effective date above and post the new version here. Continued use of the site after changes take effect means you accept the updated terms.

Governing law

These terms are governed by the laws of the State of Texas, without regard to conflict of law rules. Any dispute relating to these terms or the site will be brought in the state or federal courts located in Dallas County, Texas, and you consent to their jurisdiction.

Severability

If any part of these terms is found unenforceable, the rest remains in effect. These terms, together with the Privacy Policy, are the entire agreement between you and Siplys about the site.
